These Terms of Service (“Terms”) govern your use of nyntax.com and any services provided by Nyntax (“Nyntax”, “we”, “us”). By using the site or engaging us, you agree to these Terms. If you do not agree, please do not use the site.
Our services
Nyntax is a software development agency. We provide UI/UX design, web development, mobile app development, SaaS development, automated testing and QA, and team augmentation services to businesses.
How engagements work
Information on this site, including descriptions of services, timelines and prices, is general and is not an offer. Each engagement is set out in a separate written agreement, such as a statement of work or service agreement, that describes the scope, deliverables, timeline, fees and payment terms. If that agreement conflicts with these Terms, the agreement takes priority.
Engagements are typically billed as a fixed price for a defined scope or on a time-and-materials basis. Changes to an agreed scope are handled through a written change request and may affect cost and timeline. Unless the agreement says otherwise, invoices are due within the period stated on the invoice, and either party may end an engagement with written notice, paying for work completed up to the end date. Refunds and cancellations are covered by our Return and Refund Policy.
Intellectual property
Unless your agreement with us says otherwise, once you have paid in full, you own the custom code, designs and other deliverables we create specifically for you. We keep ownership of our pre-existing tools, libraries, know-how and general-purpose components, and we grant you a non-exclusive, perpetual licence to use them as part of your deliverables. Third-party and open-source components remain subject to their own licences.
We may mention you as a client and describe the work in general terms in our portfolio and case studies, unless you ask us not to or your agreement says otherwise.
The content of this site, including text, graphics, logos and code, is owned by Nyntax or its licensors. You may not copy, reproduce or reuse it for commercial purposes without our written permission.
Confidentiality
Each party will keep the other's non-public business, technical and financial information confidential, use it only for the engagement, and share it only with staff and contractors who need it and who are bound by similar obligations. This does not apply to information that is already public, was already known to the receiving party, is independently developed, or must be disclosed by law. These obligations continue after the engagement ends. We are happy to sign a separate non-disclosure agreement before you share details of your project.
Use of this site
You agree not to misuse the site, including by attempting to gain unauthorised access, interfering with its operation, submitting spam or false information through its forms, or using it for anything unlawful. The site may link to third-party websites that we do not control and are not responsible for.
Disclaimers
The site and its content are provided “as is” for general information. We do not guarantee that it will always be available, accurate or error-free. Any warranties for services we deliver are those set out in your engagement agreement.
Limitation of liability
To the fullest extent permitted by law, Nyntax is not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill, arising from use of the site or our services. Our total liability arising out of or relating to an engagement is limited to the fees you paid us under that engagement in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
Governing law
These Terms, and any dispute arising out of or relating to them or to the site, are governed by the laws of the People's Republic of Bangladesh. The courts of Dhaka, Bangladesh have exclusive jurisdiction, unless your engagement agreement specifies otherwise.
Changes to these Terms
We may update these Terms from time to time. When we do, we will post the new version on this page and change the “Last updated” date at the top. Continuing to use the site after a change means you accept the updated Terms.
